ANY USE OF THE WEBSITE FOR ANY PURPOSE WHATSOEVER IMPLIES THE USER’S UNRESERVED ACCEPTANCE OF THESE TERMS AND CONDITIONS OF USE.

The website is published by FINANCIERE B&B HOTELS, whose details are available here (hereinafter “FINANCIERE B&B”).

The terms mentioned below have the following meanings in these General Terms and Conditions of Use:

• Parties: in the plural, refers to both FINANCIERE B&B HOTELS and the User. In the singular, refers to only one of the two Parties.
• B&B HOTELS Group company: refers to FINANCIERE B&B HOTELS and any entity controlled by FINANCIERE B&B HOTELS or under the joint control of FINANCIERE B&B HOTELS.
• Website: refers to the website of FINANCIERE B&B HOTELS, accessible at bbhotels-group.com.
• Service: refers to the services offered by FINANCIERE B&B HOTELS on the Website.
• Partnership: refers to any commercial partnership that the Companies of the B&B HOTELS Group may offer to professional Users (authorised managers, franchisees, real estate partners, merger and acquisition partners, etc.).
• User(s): refers to any professional who accesses and browses the Website, whether they are a B&B HOTELS Group company or a simple internet user.

These General Terms and Conditions of Use (the “Terms of Use”) define the legal framework governing access to and use of the website (the “Website”).

These Terms of Use are in French and are intended to apply between FINANCIERE B&B HOTELS and any User wishing to access the Website, read information about B&B HOTELS Group companies and contact one of them to request a partnership.

In this context, FINANCIERE B&B HOTELS acts as the publisher of the Website but also as a technical intermediary in order to collect requests for commercial partnerships for all companies within the B&B HOTELS Group.

This Website and these Terms of Use do not allow users to book a stay with a company in the B&B HOTELS Group. If users wish to book a stay, they are invited to visit the website https://www.hotel-bb.com/fr.

By accessing or using the Website, you agree to be bound by these Terms of Use. If you do not agree with these Terms of Use, please do not access or use the Website.

Users therefore undertake to read these Terms of Use carefully when accessing the Website and are invited to accept, download, print and keep a copy.

These Terms of Use are available at the bottom of each page of the Website via a hyperlink and may be consulted at any time.

By accessing or using the Website, the User acknowledges that they have the necessary means and skills to use the features offered.

The equipment necessary to access and use the Website is the responsibility of the User, as are any telecommunication costs incurred through its use.

The Website published by FINANCIERE B&B HOTELS enables the User to learn about the B&B HOTELS group, its values, history, leadership and commitments, but also to connect, electronically, the companies of the B&B HOTELS Group and Users with a view to establishing a commercial partnership.

FINANCIERE B&B HOTELS has no control over commercial partnerships between B&B HOTELS Group companies and Users.

The User is expressly informed that the commercial partnership will not be concluded directly on the Website.

FINANCIERE B&B HOTELS does not charge any connection fees to either the companies of the B&B HOTELS Group or the User.

These Terms of Use do not in any way confer on Users the status of employee, agent or representative of FINANCIERE B&B HOTELS.

7.1. Services available to all Users

The main Service offered by FINANCIERE B&B HOTELS consists of:

• Providing a presentation of the B&B HOTELS group and the companies of the B&B HOTELS Group;
• Connecting Users and B&B HOTELS Group companies for the conclusion of a Partnership agreed and negotiated outside the Website.

Partnership request

By clicking on the Partnership category of their choice, interested professional Users will be able to submit a Partnership request to the companies of the B&B HOTELS Group.

To do so, the User will be asked to provide all the information required for the B&B HOTELS Group companies to assess their request (description of their project, CV, etc.).

Users are expressly informed that Partnerships will not be concluded on the Website but directly with the relevant B&B HOTELS Group company.

7.2. Services accessible to all B&B HOTELS Group companies

Through the Website, B&B HOTELS Group companies will be able to:

• Receive Partnership requests from professional Users.

8.1. Obligations of Users

When using the Website, each User undertakes not to breach public order and to comply with the laws and regulations in force, to respect the rights of third parties and the provisions of these Terms of Use.

Each User is obliged to:

• Behave in a fair and lawful manner towards FINANCIERE B&B HOTELS, the companies of the B&B HOTELS Group and third parties;
• Be honest and sincere in the information provided to FINANCIERE B&B HOTELS and, where applicable, to other Users of the Website (in particular to companies in the B&B HOTELS Group);
• Use the Website in accordance with its purpose as described in these Terms of Use;
• Not to misuse the Website to commit crimes, offences or contraventions punishable under the Criminal Code or any other law;
• Not to extract substantial or repeated content from the Website in violation of the database producer rights of FINANCIERE B&B HOTELS;
• Respect the privacy of third parties and the confidentiality of exchanges, in particular with companies in the B&B HOTELS group;
• Respect the intellectual property rights of FINANCIERE B&B HOTELS relating to the elements of the Website and, where applicable, the intellectual property rights of other Users;
• Not attempt to infringe, within the meaning of Articles 323-1 et seq. of the French Penal Code, the automated data processing systems implemented on the Website, in particular through practices such as scraping;
• Not to use the Website to send unsolicited messages (advertising or other) on a large scale;
• Not to disseminate data that has the effect of reducing, disrupting, slowing down or interrupting the normal functioning of the Website.

In compliance with the legal and regulatory provisions in force and in accordance with the law of 29 July 1881 on freedom of the press, the User undertakes not to disseminate messages or information:

• Constituting wrongful disparagement of FINANCIERE B&B HOTELS or other Users;
• Contrary to public order and morality;
• Is abusive, defamatory, racist, xenophobic, revisionist or damaging to the honour or reputation of others;
• Incitement to discrimination or hatred of a person or group of persons on the grounds of their origin or their membership or non-membership of a particular ethnic group, nation, race or religion;
• Threatening to a person or group of persons;
• Of a paedophilic nature;
• Incitement to commit a crime, offence or act of terrorism, or glorification of war crimes or crimes against humanity;
• Incitement to suicide;
• Enabling third parties to directly or indirectly obtain pirated software, software serial numbers, software enabling acts of piracy and intrusion into computer and telecommunications systems, viruses and other logic bombs and, in general, any software or other tool enabling the infringement of the rights of others and the security of persons and property;
• Commercial in nature (canvassing, soliciting, prostitution, etc.).

The User is solely responsible for their use of the Website and Services.

8.2. Obligations of FINANCIERE B&B HOTELS

FINANCIERE B&B HOTELS’ general obligation is an obligation of means. FINANCIERE B&B HOTELS is not subject to any obligation of result or reinforced obligation of means of any kind.

FINANCIERE B&B HOTELS undertakes to use all means at its disposal to ensure continuous access to and use of the Website 24 hours a day, 7 days a week.

However, FINANCIERE B&B HOTELS draws Users’ attention to the fact that current Internet communication protocols do not allow for the secure and continuous transmission of electronic exchanges (messages, documents, identity of the sender or recipient).

In the context of providing the Services, FINANCIERE B&B HOTELS may collect personal data from the User.

This data is processed in accordance with Law No. 78-17 of 6 January 1978 on information technology, files and civil liberties and Regulation No. 2016-679 of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data.

Users are invited to consult the Personal Data Protection Policy, which will provide them with further information on the protection of personal data, the processing carried out by FINANCIERE B&B HOTELS and the procedures for exercising their rights.

10.1. General provisions

With the exception of the content of the B&B HOTELS Group companies, all rights, titles and interests relating to the Website, its content, its features, its graphic charter, its database, its data and, more generally, any information contained therein, including, but not limited to, all trademarks, copyrights, logos, trade names, illustrations, images and designs, are the exclusive and absolute property of FINANCIERE B&B HOTELS of the Website and/or its licensors.

Any total or partial reproduction of this content is strictly prohibited and may constitute an infringement of copyright.

Acceptance of these Terms of Use constitutes the User’s acknowledgement of FINANCIERE B&B HOTELS’ intellectual property rights and a commitment to respect them.

10.2. Rights granted to you

FINANCIERE B&B HOTELS grants you a personal, non-exclusive, non-transferable and free licence to access and use the Website and its content in accordance with these Terms of Use, for personal and non-commercial purposes.

You are not authorised to (i) reproduce, display, extract, adapt and/or translate the Site and/or its content or any part of its content, unless such action is permitted under these Terms of Use; (ii) make the Site and/or its content or any part of its content available to a third party, directly or indirectly; (iii) extract or reuse the content of the Site or any part of its content, in whole or in part, in any format or on any medium whatsoever; (iv) circumvent the protection or access restriction measures applicable to the Site and/or its content or any part of its content.

For any use of the Website and/or its content or part of its content outside the scope defined above, including, but not limited to, for commercial or business purposes, you must obtain prior written authorisation from FINANCIERE B&B HOTELS. You are prohibited from using the Website and/or its content or any part of its content in an illegal, fraudulent, unacceptable or inappropriate manner. You are not authorised to use any automated means to use the Website and/or its content or any part of its content, including, but not limited to, integrated databases.

10.3. Rights not granted to you

You agree that you are not permitted to upload or publish content that is subject to third-party intellectual property rights, trade secrets or any other third-party proprietary rights, unless you are the owner of such rights or have permission from the legal owner of the rights, or content that is deemed illegal under applicable laws and regulations, including, without limitation, any content that may (i) be defamatory or libellous, (ii) justify or discuss crimes against humanity, (iii) incite hatred based on ethnicity, gender, sexual identity or disability, or encourage child pornography, (iv) provoke or promote terrorist acts, (v) encourage any type of violence, including violence against women.

In general, and given the purpose of the Website, you agree to always behave ethically with regard to the content you upload or publish on the Website.

10.4. Rights granted by B&B HOTELS Group companies

As part of the Services, B&B HOTELS Group Companies may publish content (photographs, trademarks, logos, designs, etc.) belonging to them or to third parties.

Any B&B HOTELS Group Company posting content via the Website guarantees that it has the necessary property rights to represent or reproduce all content and will hold FINANCIERE B&B HOTELS harmless.

In any event, FINANCIERE B&B HOTELS shall in no way be held liable for any act of infringement, given that it is merely hosting the content published by the companies of the B&B HOTELS Group.

For the purposes of these Terms of Use, all B&B HOTELS Group Companies grant FINANCIERE B&B HOTELS a free, non-exclusive licence to use, reproduce, represent, adapt and make available to the public said content, including in particular content protected by copyright and any other distinctive signs visible for the purposes of these Terms of Use. This licence shall be valid for the entire duration of use of the Website under these Terms and Conditions and worldwide.

This licence does not include any right to sub-license to a third party. FINANCIERE B&B HOTELS shall not, however, be held liable for the copying of content by any User browsing the Website who violates these Terms of Use.

11.1. General principles

FINANCIERE B&B HOTELS declines all responsibility, in particular:

• In the event of temporary inability to access the Website due to technical maintenance or updating of published information. Users acknowledge that FINANCIERE B&B HOTELS cannot be held liable in the event of malfunctions or interruptions in the aforementioned transmission networks;
• In the event of virus attacks or illegal intrusion into an automated data processing system;
• In the event of abnormal use or illegal exploitation of the Website by a User or a third party;
• With regard to the content of third-party websites to which hypertext links on the Website refer;
• In the event of non-compliance with these Terms of Use attributable to Users;
• In the event of delay or non-performance of its obligations, when the cause of the delay or non-performance is related to a case of force majeure;
• In the event of a cause beyond the control of FINANCIERE B&B HOTELS;

In the event of abnormal use or illegal exploitation of the Website, the User shall be solely liable for any damage caused to third parties and the consequences of any claims or actions that may arise therefrom.

11.2. Links to third-party websites/offers

The Website may include hyperlinks to third-party websites or offers. These hyperlinks and third-party offers are provided for information purposes only. We are not responsible for (i) the availability of these third-party websites or offers, nor (ii) the accuracy or reliability of their content. Unless expressly stated otherwise by us, we do not endorse these third-party websites or offers or their content.

11.3. Hosting status

Users acknowledge that FINANCIERE B&B HOTELS acts as a host within the meaning of Article 6 I 2° of the Law of 21 June 2004 on confidence in the digital economy, known as the “LCEN”.

As such, FINANCIERE B&B HOTELS reserves the right to remove any content that has been reported to it and that it considers to be manifestly unlawful within the meaning of Article 6 I 2° of the LCEN.

Notification of manifestly unlawful content by a User or any other third party must be made by:

In accordance with Article 6 I 5° of the LCEN, in order to be valid, the notification must include the following information:

• The date of the notification;
• If the notifying party is a natural person: their surname, first names and email address;
• If the notifier is a legal person: its corporate form, its name, its e-mail address;
  If the notifying party is a legal entity: its legal form, company name and email address;
  If the notifying party is an administrative authority: its name and email address.
  The identity of the notifying party is presumed to be established if they were logged in as a User on the Website at the time of notification and FINANCIERE B&B HOTELS was able to collect the information necessary for their identification.
• A description of the disputed facts, their precise location and, where applicable, the email address(es) at which the content is accessible. These conditions are deemed to be met if the User directly uses a reporting feature directly accessible from the disputed content.
• The reasons why the content should be removed or made inaccessible, including reference to the legal provisions and factual justifications; it being specified that this condition is deemed to be satisfied when the online public communication service allows notification to be made by means of a technical device offering to integrate the category of infringement to which the disputed content may be linked;
• A copy of the correspondence sent to the author or publisher of the disputed information or activities requesting their interruption, removal or modification, or justification that the author or publisher could not be contacted, except in the case of offences provided for in Article 6 I 5° of the LCEN, and in particular content that is hateful, incites hatred or condones crimes against humanity or acts of terrorism.

It is specified that any request or complaint from a User relating to a Partnership must be addressed directly to the B&B HOTELS Group Company concerned, as the latter is solely responsible for the execution of this Partnership.

FINANCIERE B&B HOTELS cannot be held liable if the non-performance or delay in the performance of any of its obligations described in these Terms of Use results from a case of force majeure.

Force majeure in contractual matters occurs when an event beyond the control of the debtor, which could not reasonably have been foreseen at the time of conclusion of the contract and whose effects cannot be avoided by appropriate measures, prevents the debtor from performing its obligation.   If the impediment is temporary, the performance of the obligation shall be suspended unless the resulting delay justifies the termination of the contract. If the impediment is permanent, the contract shall be terminated automatically and the Parties shall be released from their obligations under the conditions provided for in Articles 1351 and 1351-1 of the Civil Code.

In the event of one of the above events occurring, FINANCIERE B&B HOTELS shall endeavour to inform the User as soon as possible.

The provisions of these Terms of Use are severable. If any of these provisions becomes invalid, illegal or unenforceable, in whole or in part, it shall be extracted and deleted to the extent required, and the remaining provisions shall remain applicable. Your inability or the inability of FINANCIERE B&B HOTELS to exercise or enforce any right or provision related to these Terms of Use does not constitute a waiver of that right or provision.

These Terms of Use apply to all Users browsing the Website.

The Terms of Use may be modified and updated by FINANCIERE B&B HOTELS at any time, in particular to adapt to legislative or regulatory changes.

The applicable Terms of Use are those in force at the time of browsing the Website.

In such cases, you will be informed of any changes by specific notices published on the Website.

THESE TERMS OF USE AND THE RELATIONSHIP BETWEEN ANY USER AND FINANCIERE B&B HOTELS ARE GOVERNED BY FRENCH LAW.

In the event of a dispute between FINANCIERE B&B HOTELS and a User concerning the interpretation, execution or termination of these Terms and Conditions, the Parties shall endeavour to settle it amicably.

In such a case, the User is first invited to contact the FINANCIERE B&B HOTELS mediation service at the following address: fra-groupnotification@hotelbb.com (this email address cannot handle requests for reservations, cancellations, prices or availability. Please use the contact page provided for this purpose).

If no agreement is reached, an optional mediation procedure will be proposed, conducted in a spirit of fairness and good faith with a view to reaching an amicable agreement in the event of any dispute relating to this contract, including its validity.

IN THE ABSENCE OF AN AGREEMENT, THE DISPUTE MAY BE SUBMITTED TO THE COMPETENT COURTS OF THE JURISDICTION OF THE COURT OF APPEAL OF PARIS.
